New York, March 16, 2016 -- Alere Inc. (B2 RUR Up) announced it will be unable to file its annual 10-K for fiscal year 2015 within the extension period expiring on 15 March 2016, as well as the receipt of a grand jury subpoena from the U.S. Department of Justice (DOJ) regarding matters related to the U.S. Foreign Corrupt Practices Act. These announcements are credit negative because the 10K filing delay could delay the company's mailing of a definitive proxy statement relating to the special meeting of the shareholders to be held for purposes of adopting the merger agreement with Abbott Laboratories. Alere continues to expect the acquisition by Abbott to close by the end of 2016, subject to customary closing conditions, including regulatory and shareholder approvals.
