MercadoLibre Announces Pricing Of $300 Mln Notes Due 2019

(RTTNews) - Online commerce platform MercadoLibre, Inc. (MELI) announced the pricing of $300 million aggregate principal amount of 2.25 percent Convertible Senior Notes due 2019.

The company has granted the initial purchasers a 13-day option to purchase up to an additional $30 million principal amount of notes, to cover over-allotments. The offering is expected to close on June 30.

Interest on the notes will be paid semiannually in arrears on January 1 and July 1 of each year at the rate of 2.25 percent per year, beginning on January 1, 2015.

The notes will mature on July 1, 2019, unless earlier repurchased or converted.

In connection with the pricing of the notes, MercadoLibre also entered into privately negotiated capped call transactions with certain of the initial purchasers of the notes or their respective affiliates.
