Drillisch AG: Implementation of the planned change in the Management Board
following closing of the overall transaction

Maintal, October 17, 2017. The Local Court Hanau has appointed Mr. Kurt Dobitsch, Mr. Kai-Uwe Ricke and Mr. Michael Scheeren as members of the Supervisory Board of Drillisch AG with effect as of October 16, 2017. The appointment of the three candidates named by United Internet AG took place after the closing of the step-by-step acquisition of 1 & 1 Telecommunication SE by Drillisch AG.

This had already been agreed in principle by Drillisch AG and United Internet AG in the Business Combination Agreement concluded between them on May 12, 2017 and set out in the Joint Opinion of the Management Board and the Supervisory Board under Section 27 of the German Acquisition and Takeover Act on the public tender offer of United Internet AG and in the voluntary public tender offer of United Internet AG. Mr. Kurt Dobitsch, Mr. Kai-Uwe Ricke and Mr. Michael Scheeren are replacing Dr. Susanne Rückert and Mr. Frank Rothauge, who both resigned as envisaged in the Business Combination Agreement, and Dr. Bernd H. Schmidt, who already resigned from the Supervisory Board of Drillisch AG at the end of May.

Dr. Rückert has been a member of the Supervisory Board since 2012 and served most recently as Deputy Chairman of the Supervisory Board of Drillisch AG. Mr. Rothauge has been a member of the Supervisory Board of our company since 2013. During this time they closely supported the development of Drillisch AG and most recently the acquisition of 1 & 1 Telecommunication SE in their function as Supervisory Board members. They resigned from office in order to enable an adequate representation of United Internet AG on the Supervisory Board. "For this and for their commitment to the company over many years and performance during their tenure we are highly indebted to Dr. Rückert and Mr. Rothauge as well as Dr. Schmidt", emphasizes Supervisory Board Chairman Marc Brucherseifer.

Mr. Scheeren is chairman and Mr. Dobitsch and Mr. Ricke are each members of the Supervisory Board of 1 & 1 Telecommunication SE and have many years of experience in the area of telecommunication services. Mr. Kurt Dobitsch has further served many years as chairman of the Supervisory Board of United Internet AG and now looks back on more than 40 years of experience in the information and telecommunication services industry. Mr. Kai-Uwe Ricke has been working for more than 30 years for various companies in the area of telecommunications and has also served as a member of the Supervisory Board of United Internet AG since 2008. Mr. Michael Scheeren had already worked for more than 13 years in the banking sector when he was appointed as Chief Financial Officer of United Internet AG in 1991. Since 2002 Mr. Michael Scheeren has served as a member of the Supervisory Board of United Internet AG.
