Madrid, December 29, 2014 -- Moody's has determined that amendments to, inter alia, the cash allocation, management and payments agreement, the intercreditor agreement, the terms and conditions of the senior notes and the master definitions agreement to be executed on or around 22nd December 2014 (the "Amendments") for Consumer One S.r.l. (the "Issuer"), will not, in and of itself and at this time, result in a downgrade or withdrawal of the current ratings of the notes (the "Notes") issued by the Issuer. Moody's opinion address only the credit impact of the Amendments, and Moody's is not expressing any opinion as to whether the Amendments have, or could have, other non-credit related effects that may have a detrimental impact on the interests of note holders and/or counterparties.
