RPC: Talks Ongoing With Apollo Global; Agree To Terminate With Bain Capital

(RTTNews) - Plastic products design and engineering company RPC Group Plc (RPC.L) Monday announced, regarding takeover offers from each of Apollo Global Management and Bain Capital, that its discussions remain ongoing with Apollo. Meanwhile, RPC and Bain Capital have mutually agreed to terminate discussions.

RPC previously announced that discussions were taking place with each of Apollo and Bain Capital which may or may not result in an offer for the Company.

Each of Apollo and Bain Capital were required, by not later than December 3, to either announce a firm intention to make an offer for the Company or announce that it does not intend to make an offer.

Regarding Apollo, RPC said its Board requested that the Panel on Takeovers and Mergers extend the deadline with respect to Apollo to enable continued discussions to take place. Accordingly, an extension has been granted by no later than December 21 to either announce a firm intention to make an offer or announce that it does not intend to make an offer.

In the case of Bain Capital, the Board of RPC has not requested an extension of this deadline from the Panel.

RPC said a further announcement will be made when appropriate. There can be no certainty that any offer will be made for the Company, nor as to the terms on which any offer might be made.
