Resignation of Jean-Dominique Comolli from the Board of Directors of Pernod Ricard

Following his appointment as "Commissioner of State Holdings” to the French Minister for the Economy, Industry and Employment, which will take effect on 15 September of this year, Jean-Dominique Comolli resigned from the Board of Directors of Pernod Ricard (Paris:RI) at the end of the meeting held on 1 September.

The Board of Directors will submit the appointment of Susan Murray as a new independent director for approval by the shareholders at the Annual General Meeting to be held on 10 November 2010.

Jean-Dominique Comolli was Chairman of the Remuneration and Appointments Committees until his resignation. The Board of Directors has decided that these duties will now be entrusted to Nicole Bouton, an independent director.

Jean Dominique Comolli

Jean-Dominique Comolli, 62 years old, was appointed as Non-Executive Deputy Chairman of Imperial Tobacco on 15 July 2008. He graduated from the Paris Institut d’Etudes Politiques, holds a Masters in Economics and is a former student of ENA (André Malraux class of 1975-1977). Jean-Dominique Comolli started his career as a senior civil servant to the Ministry of the Budget from 1977 to 1981. A Technical Advisor to Laurent Fabius, while he was Secretary of State for the Budget between 1981 and 1983, he then went on to be an Official Representative and then Technical Advisor to Pierre Mauroy and Laurent Fabius while they were Prime Ministers until 1986. He was then appointed Assistant Manager of the Budget department until 1988, where he was successively Assistant Principal Private Secretary to the Minister of Economy and then Principal Private Secretary of the Secretary of State for the Budget. In 1989, he became Director General of Customs and was elected Chairman of the Customs Cooperation Council in 1992. From 1993 to 1999, he was the Chairman and Chief Executive Officer of Seita. He handled its privatisation in 1995, as well as the merger with Tabacalera to form Altadis, a global leader in the tobacco market.

Nicole Bouton

Nicole Bouton, 63 years old, founded the Financière Centuria Group in 2002, which she chaired until June 2010: in this capacity, she also chairs several subsidiaries including Financière Accréditée, which was acquired in 2006. She is also a Director of several other subsidiaries of the Financière Centuria Group. At the end of June 2010, Nicole Bouton sold her shares in Centuria but remained Chairperson of Financière Accréditée. She was appointed Chairperson of the Strategic Committee of FICAM, a management company, supported by two new partners.

A graduate of the Paris Institut d’Etudes Politiques, Nicole Bouton held the positions of Assistant Manager and then Deputy Manager in the Central Administration of Credit Commercial de France from 1970 to 1984.

From 1984 to 1996, Ms. Bouton went on to hold the positions of Assistant Manager, Manager and finally Managing Director of Lazard Frères et Cie and Lazard Frères Gestion.

In 1996, she was appointed as a Member of the Executive Committee of the NSMD bank (ABN AMRO France Group) and became the Vice-Chairperson responsible for Institutional and Banking Clients before being appointed as a Member of the Management Board in 2000. She also assumed the duties of Vice-Chairperson of the ABN AMRO France Holding Company the same year.

She was also appointed as Chairperson of the Management Board and then Vice-Chairperson of the Supervisory Board of Asset Allocation Advisors and Chairperson of the Banque du Phenix, which merged with the NSMD bank in October 1998. Mrs. Bouton left ABN AMRO in 2001

Susan Murray

Susan E. Murray, 53 years old, is an Independent Non-Executive Director of Imperial Tobacco Group PLC, Compass Group plc and Enterprise Inns plc. Susan was a Board member at Littlewoods Limited from October 1998 until January 2004, and became Chief Executive of Littlewoods Stores Limited. Prior to this she was Worldwide President and Chief Executive of The Pierre Smirnoff Company, part of Diageo plc. Whilst at Diageo she was the first Chairman of the International Centre for Alcohol Policies in Washington DC. Susan is also a former Non-Executive Director of Wm Morrison Supermarkets plc, SSL International plc and Aberdeen Asset Management PLC and a former director and council member of the Advertising Standards Authority and of the Portman Group complaints panel, She is a fellow of the Royal Society of Arts.
