The Management Board of flatexDEGIRO AG (“Company”) is aiming to merge the Group's own flatexDEGIRO Bank AG with the listed Company in the course of 2026. This measure is intended to simplify organizational structures and enable further efficiency gains. The strategic and operational focus of flatexDEGIRO as a leading European platform for building wealth remains unchanged. One prerequisite for the possible implementation of this measure is an amendment to the Company's Articles of Association to extend the “Object of the Company” (§ 2 of the Articles of Association) to include banking activities. Secondly, the relevant regulatory authorities must grant the Company a banking license, as the existing banking license of flatexDEGIRO Bank AG cannot be automatically transferred. The implementation of this measure is also subject to the approval of the Company's Supervisory Board.
