In the context of passing the threshold of 10% of the voting rights in SKW Stahl-Metallurgie Holding AG on February 03, 2016 by Dr. Olaf Marx and MCGM GmbH pursuant to §§ 21 und 22 WpHG, we are informing about the goals pursued with the share acquisition pursuant to § 27a section 1 WpHG: - Notification of the goals pursued with the acquisition of voting rights (§ 27a section 1 sentence 1 in connection with sentence 3 WpHG): 1. The investment serves the implementation of strategic and financial goals. 2. We plan to acquire further voting rights in the company during the next twelve months, by purchase or by other means. 3. We intend to exercise influence on the staffing of administrative, executive and supervisory bodies, and 4. We do not currently aim at significant changes in the capital structure of the company, in particular regarding the ratio of equity to debt capital and the dividend policy. - Notification of the origin of the funds employed for the acquisition (§ 27a section 1 sent. 4 WpHG): The acquisition of voting rights in SKW Stahl-Metallurgie Holding AG was financed to 100% by own funds.
