SNP plans company acquisition in Asia

Singapore/Heidelberg, 3rd December 2015 - The SNP Group (ISIN DE0007203705) is seeking to acquire a majority interest of initially 51% in Astrums Consulting (S) Pte. Ltd., headquartered in Singapore, including the majority-owned subsidiary Astrums Consulting Sdn. Bhd., headquartered in Malaysia (also referred to hereinafter as "Astrums"). The investment is to be increased further over the coming years.

Astrums is a fast-growing consulting and service company in the field of products and services for various ERP systems. Its core competencies include implementation projects on an SAP basis including process analyses, conception and implementation, and maintenance and support.

Astrums currently employs around 100 highly qualified IT and software specialists with an average of 4 years of SAP experience in Singapore and Kuala Lumpur. Astrums has posted continuous, above-average growth in recent years. In the 2014 financial year, total revenue of approximately EUR 4 million and an EBIT margin of 18% were generated. The company has been active on the fast-growing South-East Asian market for around 15 years and has an attractive customer base and an established partner network. The targeted investment will give the SNP Group access to the South-East Asian market and qualified and highly motivated employees. The accelerated internationalisation strategy will put the SNP Group in a position to implement projects in Asia directly in the future.

The SNP Group will use available liquidity for the acquisition; neither additional equity nor debt capital is required.

The acquisition is still subject to the conclusion of a final purchase agreement. The parties aim to conclude the agreement in the coming weeks.
