C. Kevin Landry Resigns from Ameritrade Board of Directors; Silver Lake Partners to Designate Replacement

Landry has served on the Ameritrade Board of Directors since theCompany's acquisition of Datek Online Holdings in September 2002. Inhis time on the Board, Landry has helped guide the Company's growththrough a merger and acquisition strategy that has resulted in fivecompleted transactions. He also served on the Board's audit committee.

Under the Stockholders Agreement entered into in connection withthe September 2002 Datek merger, the remaining Datek Director, GlennHutchins, who is a managing director of Silver Lake Partners, has theright to designate a director to replace Kevin Landry. Mr. Hutchinshas submitted a designee, which will be reviewed shortly by theCompany's Board.
