Brookfield To Commence Tender Offer For GrafTech Stock At $5.05/shr

(RTTNews) - GrafTech International Ltd. (GTI) announced it has entered into a definitive agreement and plan of merger with an affiliate of Brookfield Asset Management Inc. (BAM, BAM_A.TO). Brookfield will commence a tender offer to purchase up to all of the outstanding shares of GrafTech common stock at a purchase price of $5.05 per share. The tender offer will commence no later than May 26, 2015 and will expire on July 7, 2015.

GrafTech noted that the holders of approximately 11% of its outstanding shares, including GrafTech director Nathan Milikowsky, have agreed to support the transaction and tender their shares in the tender offer.
