Toronto, October 24, 2013 -- Moody's Investors Service (Moody's) said RR Donnelley & Sons Company's (RR Donnelley) October 24, 2013 joint announcement with Consolidated Graphics, Inc. (Consolidated Graphics) indicating that the two companies had executed an agreement contemplating RR Donnelley acquiring Consolidated Graphics, is modestly credit-negative for RR Donnelley, but has no implications for the company's Ba2 corporate family rating or negative ratings outlook. The transaction is subject to regulatory approval and approval by Consolidated Graphics' shareholders.
