New York, October 03, 2013 -- Moody's Investors Service (Moody's) was informed of a non-permitted equity transfer request from the current borrowers of the Gas Company Tower and World Trade Center Parking Garage Loan ("Gas Company Tower") for the A-1 Note in J.P. Morgan Chase Commercial Mortgage Securities Corp. Series 2006-LDP8 and the A-2 Note in WBCMT Commercial Mortgage Trust 2006-C28. The non-permitted equity transfer would allow for the 100% transfer of the limited liability company interest in Maguire Properties -- 555 W Fifth, LLC and Maguire Properties -- 350 S. Figueroa, LLC (collectively, the "Borrower") from the Borrower as part of an Agreement and Plan of Merger with Brookfield DTLA Holdings LLC (Brookfield DLTA) to Brookfield DLTA.
