Moody's: No negative rating impact on BACM 2005-6 due to a Permitted Transfer/Assumption of the Sponsor/Guarantor of the Intown Suites Portfolio B
New York, June 03, 2013 -- Moody's Investors Service (Moody's) was informed that Intown Hospitality Corp. (guarantor) and Intown Hospitality Investors, LP (current sole shareholder of the guarantor) of the Intown Suites Portfolio B Loan have entered into a Stock Purchase Agreement with SOF-IX Sleep, LP, an affiliate of Starwood Capital Group Global LP, for the sale of 100% of the outstanding common shares in Intown Hospitality Corp. to SOF-IX Sleep, LP. As part of the foregoing transaction, SOF-IX Sleep, L.P., will give a pledge to the current key principal, Kimco Realty Corporation (Kimco), for 100% of its interest in Intown Hospitality Corp. (the Kimco Pledge) in connection with a separate corporate credit facility. The proposed Transfer/Assumption will become effective upon satisfaction of the conditions set forth in the governing documents.
