New York, May 02, 2016 -- Moody's Investors Service has determined that the entry by Marathon Real Estate CDO 2006-1 Ltd. (the "Issuer) into: (i) a proposed supplemental indenture (the "Supplemental Indenture") by and among the Issuer, Marathon Real Estate CDO 2006-1, LLC., as Co-Issuer, Marathon Structured Finance Fund, L.P., as Advancing Agent and LaSalle Bank National Association as Trustee; and (ii) an auction agreement (the "Agreement") and performance of the activities contemplated therein, will not in and of themselves and at this time result in the immediate withdrawal or reduction with respect to the Moody's current rating of any class of notes. Moody's does not express an opinion as to whether the Supplemental Indenture could have non-credit related effects.
