Ventas Prices Cdn$900 Million of 2.80% Senior Notes Due 2024 and Floating Rate Senior Notes Due 2021
Ventas, Inc. (NYSE: VTR) ("Ventas” or the "Company”) said today that it has priced a private offering in Canada of Cdn$600 million of 2.80% Senior Notes, Series E due 2024 (the "2024 Notes”) and Cdn$300 million of Floating Rate Senior Notes, Series F due 2021 (the "2021 Notes”, and together with the 2024 Notes, the "Notes”). The sale of the Notes is expected to close on November 12, 2019.
The Notes are being issued by Ventas’s indirect wholly owned subsidiary, Ventas Canada Finance Limited (the "Issuer”), on a prospectus-exempt basis only to "accredited investors” who are not individuals unless such individuals are also "permitted clients,” in each case as defined in applicable Canadian securities laws, and will be unconditionally guaranteed by the Company. The 2024 Notes will mature on April 12, 2024 and the 2021 Notes will mature on November 12, 2021. The Notes will be senior unsecured obligations, ranking pari passu with all existing and future senior unsecured indebtedness of the Issuer and the guarantees will rank equally with all existing and future unsecured and unsubordinated obligations of the Company. Interest on the 2024 Notes will be payable semi-annually on April 12 and October 12 of each year, commencing on April 12, 2020. Interest on the 2021 Notes will be payable quarterly on February 12, May 12, August 12 and November 12 of each year, commencing on February 12, 2020.
The Company said it expects to use the net proceeds from the sale of the Notes to repay a portion of existing indebtedness incurred by the Issuer and for general corporate purposes which may include acquisitions of, or investments in, additional properties and businesses and other repayment of indebtedness.
The Notes have not been and will not be registered under the Securities Act of 1933, as amended (the "Securities Act”), or any state securities laws and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements of the Securities Act and applicable state laws.
