Simplified Cash Tender Offer for the Shares of Meetic Initiated by Match.com France Limited

This announcement has been prepared by Meetic S.A. and is made available in accordance with articles 231-27, 3° and 231-28, I of the Autorité des marchés financiers ("AMF”) General Regulations.

IMPORTANT NOTICE |

In accordance with articles L. 433-4, III of the French Monetary and Financial Code and 237-14 et seq. of the AMF General Regulations, if the shares of Meetic S.A. that are not tendered in the simplified cash tender offer represent not more than 5% of the shares or of the voting rights of Meetic S.A., Match.com France Limited intends to request from the AMF, within a 3-month period as from the offer's closing date, the implementation of a squeeze-out (retrait obligatoire) pursuant to which the Meetic shares not tendered in the offer would be transferred to Match.com France Limited for a consideration equal to the offer price, i.e. 18,75 euros per share. |
Pursuant to article L. 621-8 of the French Monetary and Financial Code and article 231-26 of its General Regulations, the AMF has, in accordance with its conformity decision rendered on December 10, 2013 with respect to the simplified cash tender offer initiated by Match.com France Limited on the shares of Meetic S.A. which it does not already own, granted visa No. 13-661 dated December 10, 2013 on the response document (note en réponse) prepared by Meetic S.A.
The "other information” document presenting, in particular, the legal, financial and accounting characteristics of Meetic S.A. was filed with the AMF on December 10, 2013 and made available to the public on December 11, 2013.
The response document bearing the AMF visa and the "other information” document presenting, in particular, the legal, financial and accounting characteristics of Meetic S.A. are available on the Meetic (www.meetic-corp.com) and the AMF (www.amf-france.org) websites. These documents may also be obtained free of charge from:
