Prosafe SE: Key information relating to the subsequent offering

Reference is made to announcements by Prosafe SE (the "Company" or "Prosafe") on 7 July 2016 regarding a comprehensive refinancing. Reference is further made to announcements of 7 July 2016 and 13 July 2016 concerning the launch and completion of a USD 130 million to USD 150 million private placement of new shares, and a subsequent offering of up to USD 15 million with non-tradable subscription rights for eligible shareholders.

The subsequent offering is conditional upon approval of the private placement and the subsequent offering by an extraordinary general meeting of the Company expected to be held medio August 2016, approval and publication of listing and offering prospectus as well as fulfillment of the other conditions for the refinancing announced on 7 July 2016.
