Northam seeks rival bids after unsolicited PGM approach

Northam Platinum has launched a competitive process to seek potential transaction proposals after receiving an unsolicited approach from a major South African PGM producer.Northam said in a statement Tuesday that its CEO and certain members of management had received an “unsolicited, exploratory, non-binding approach” from the unnamed producer regarding a potential transaction involving either an “asset-level transaction” or a “corporate transaction”.The Northam board has considered the approach in the context of the company’s orebodies and infrastructure, its growth prospects, management’s track record and the increasing attractiveness of the company and its asset base to other PGM industry participants.“In the circumstances, the Board has resolved to initiate a strategic, competitive process to proactively solicit proposals from interested parties regarding one or more potential transactions, with a view to maximising Shareholder value,” Northam said.The company will not prescribe the identity of participants or the nature or structure of potential transactions, which could involve Northam’s securities or asset base, or those of third parties.Northam said it would consider credible proposals that create and enhance shareholder value, with each proposal to be evaluated according to factors including its strategic rationale, financial terms, certainty of execution and the overall interests of the company, shareholders and other stakeholders.The board said its primary objective in launching the process was to ensure Northam’s long-term value and strong industry position were “appropriately recognised and crystallised” for the benefit of the company, shareholders and other stakeholders.It believes the process will give Northam increased optionality and optimise shareholders’ investment value, either through value-accretive transactions emerging from the process or through continued investment in Northam as it executes its growth objectives.Northam said a structured process would also reduce the impact on management from continued approaches by third parties and allow the management team to remain focused without “undue pressure and uncertainty”.A high-level information memorandum on Northam will be made available after the publication of its audited consolidated results for the year ended June 30 2026, which are expected on or about Friday, 28 August, followed by an investor roadshow.The move comes shortly after Northam announced its Vision 2031 strategy on 11 August, setting a medium-term growth target of 1.5 million ounces of platinum, palladium, rhodium and gold, or 4E, and more than 2 million tonnes of chrome concentrate.The post Northam seeks rival bids after unsolicited PGM approach appeared first on Miningmx.Weiter zum vollständigen Artikel bei Mining.com Weiter zum vollständigen Artikel bei Mining.com
