ISS Supports Trian Fund's Two Nominees To DuPont Board

(RTTNews) - Trian Fund Management L.P., one of the largest stockholders of E. I. du Pont de Nemours and Company (DD), announced that Institutional Shareholder Services Inc. or "ISS", one of the nation's leading independent proxy advisory firms, has recommended that DuPont stockholders vote FOR Trian's nominees Nelson Peltz and John Myers on the GOLD proxy card at DuPont's Annual Meeting on May 13, 2015.

Meantime, Trian said it continues to believe stockholders should elect all four of Trian's nominees, including Arthur Winkleblack and Robert Zatta.

Trian, which currently beneficially owns approximately 24.6 million DuPont shares valued at approximately $1.8 billion, urged DuPont stockholders to protect the value of their investments and help make DuPont GREAT again by voting the GOLD proxy card today to elect Nelson Peltz, John Myers, Arthur Winkleblack, and Robert Zatta.

Responding to ISS's recommendation, DuPont said it strongly believes ISS reached the wrong conclusion in failing to recommend that shareholders vote on the WHITE proxy card FOR all 12 of DuPont's director nominees by ignoring the success of transformative strategy and the value-destructive nature of Trian's break up agenda, as well as dismissing the fact that the addition of Trian's nominees would remove critical experience from DuPont's Board. This demonstrates a fundamental lack of understanding of the company's business and the needs of a global science company.

DuPont urged shareholders to protect the value of their investment and to prevent Trian from pursuing its value-destructive agenda. Vote FOR all 12 of DuPont's directors on the WHITE proxy card today: Lamberto Andreotti, Edward Breen, Robert Brown, Alexander Cutler, Eleuthere I. du Pont, James Gallogly, Marillyn Hewson, Lois Juliber, Ellen Kullman, Ulf Schneider, Lee Thomas and Patrick Ward.
