IntegraMed® Expands Fertility Provider Network in the Western U.S. with Agreements with Three Centers – Its First in Idaho, Nevada & Utah

IntegraMed America, Inc. (NASDAQ:INMD), the nation’s leading manager of specialty outpatient healthcare facilities in the emerging, technology-focused medical niches of fertility and vein care, today announced it has acquired Regents Management, which manages three fertility centers in the Western United States, and has entered into 25-year agreements with each of the centers to provide them with IntegraMed’s full range of fertility business, marketing and facility services. While the financial terms of the agreements were not disclosed, IntegraMed expects the addition of the three centers to be immediately accretive to IntegraMed’s overall reported earnings. The new centers expand IntegraMed’s Fertility Center Network into three attractive new markets and states, increasing its nationwide footprint to 13 states.

The centers consist of the Nevada Center for Reproductive Medicine ("NCRM”) in Reno, NV; the Idaho Center for Reproductive Medicine ("ICRM”) in Boise, ID; and the Utah Fertility Center ("UFC”) which will be located in Pleasant Grove, UT, outside Salt Lake City. IntegraMed acquired Regents Management from Dr. Russell A. Foulk, Dr. Scott J. Whitten and Dr. Cristin C. Slater, who also are respective owners of the centers. Dr. Foulk and his partners divide their time between NCRM and ICRM and are performing over 660 IVF cycles annually, roughly two-thirds at the Boise center and the remainder in Reno. As part of the transactions, IntegraMed will fund the build-out of a turnkey in vitro fertilization lab for UFC, making it a full standalone fertility center. The completion of the lab is expected during Q1 2010.

Under the agreement, the centers will receive IntegraMed’s full complement of management support, including financing permanent property, equipment and receivables, providing all non-physician employees to the operation, revenue cycle management, patient marketing and sales, information systems, accounting and financial management, legal and risk management services. The three centers will have access to IntegraMed’s Attain IVF Programs for financing consumer fertility treatments.

Based on the terms of the transaction, IntegraMed will be paid service fees comprised of reimbursed costs of services and a fixed percentage of revenues, plus an additional fixed amount of the Centers’ earnings.

Dr. Foulk, a board certified reproductive endocrinologist, graduated at the top of his class while earning his Doctorate of Medicine from the University of California, San Diego, School of Medicine. During his post-graduate training in Obstetrics and Gynecology at U.C. Irvine Medical Center and his fellowship in Reproductive Medicine at U.C. San Francisco, Dr. Foulk conducted research, published numerous papers and received a National Institute of Health grant. Dr. Foulk continues his research interests through investigative trials and basic research into the mechanisms of implantation. He is an assistant clinical professor at the University of Washington, Department of OB/GYN and the University of Nevada, School of Medicine and appears frequently as a fertility expert in the media, including national and international television. Dr. Foulk is also the past president of Pacific Coast Reproductive Society.

Dr. Slater is a board certified reproductive endocrinologist and infertility specialist who earned her Doctorate of Medicine form the University of Utah and completed her specialty training in OB/GYN at Harbor-UCLA Medical Center. She has written chapters in medical textbooks, has published many articles in medical journals and continues to teach medical students and lecture on topics in the field of reproductive endocrinolgy and infertility.

Dr. Whitten earned his Doctorate of Medicine at the University of Nevada Reno and completed his OB/GYN residency at Good Samaritan Regional Medical Center in Phoenix. He was a faculty member and completed his subspecialty fellowship training in reproductive endocrinology at the University of Alabama at Birmingham were he completed research projects on infertility which led to several publications and oral presentations.
