Harwood Feffer LLP Announces Investigation of Cogdell Spencer Inc.

Harwood Feffer LLP (www.hfesq.com) is investigating potential claims against the board of directors of Cogdell Spencer Inc. ("Cogdell Spencer” or the "Company”) (NYSE: CSA) concerning the proposed acquisition of the Company by Ventas Inc. ("Ventas”) in a transaction valued at approximately $760 million.

On December 27, 2011, Cogdell Spencer announced that it had entered into a definitive merger agreement pursuant to which the Company will be acquired by Ventas. Under the terms of the agreement, Cogdell Spencer shareholders will receive $4.25 per share in cash. The offer represents a scant 8% premium over the price of Cogdell Spencer stock at close on December 23, 2011. Furthermore, Cogdell Spencer stock has closed as high as $6.13 per share as recently as July 26, 2011 and at least one analyst has set a target price for the stock of $6.00 per share.
