F.N.B. Capital Corporation Names Advisory Board

PITTSBURGH, Dec. 11 /PRNewswire-FirstCall/ -- Among the successes during the first year of operations for F.N.B. Capital Corporation, LLC, a subsidiary of F.N.B. Corporation , has been the ability to attract individuals with extensive business and private equity investment experience to serve on its advisory board. The advisory board members are John Rose, Hermitage, PA; Jonathan King, Pittsburgh; Michael Monteleone and James Cesare, New York, NY; Rick and Terry Peterson, Corry, PA; and Ron Kenny, Chicago, IL.

John Rose is Chairman of the Board of F.N.B. Capital Corporation and President of McAllen Capital Partners, a financial advisory and investment management firm. He has been a financial services executive, advisor, strategist and investor for over 30 years. Over the last thirteen years he led investors in five turnaround banks, advised in two recapitalizations and established three de novo institutions. During this period he also restructured and/or sold four banks for F.N.B. Corporation, while functioning as executive in charge of community banking.

He is currently a member of the Investment Committee of Alpha Capital Partners LLC, a venture capital firm in Chicago, and a member of the Executive Advisory Board of Glencoe Capital LLC, a Chicago-based private equity firm. Prior to 1992, Mr. Rose was: President of a venture capital firm specializing in bank turnaround investments; SVP of Corporate Finance and Strategic Planning at LaSalle Bank in Chicago; and an investment banker at William Blair & Co. He is currently a Director of F.N.B. Corporation, Hermitage, PA; Bay View Capital Corporation, a San Francisco, CA bank holding company; White River Capital Corporation, an Indianapolis, IN financial services company; All American Investment Group, a Denver, CO municipal leasing firm; and Lifeline Shelters Inc, a Columbus, OH manufacturer.

Jonathan King is Founder and President of Equity Guidance, Inc., a newly formed mergers and acquisitions and corporate development advisory firm in Pittsburgh. He has over 20 years of private equity experience in all aspects of the business including deal generation, valuation, structuring, negotiation, due diligence, corporate development, strategic acquisitions and divestiture of both operating divisions and portfolio companies. In 1993, he established Stonewood Capital Management, Inc., a private family investment firm focused on middle market management buyouts and early stage technology investments. Prior experience included positions as director of acquisitions for Allegheny Financial Group, Ltd., vice president of a boutique investment bank, and project manager for an oil and gas exploration and development company.

King is a past president of the Pittsburgh Venture Capital Association and a former adjunct professor at Carnegie Mellon University's Tepper School of Business, where he taught "Buyouts & Private Equity." He is a past president, trustee or board member of numerous non-profit and for-profit firms, currently serving on the board of Red Zone Robotics and the Balmoral School of Highland Bagpiping. He holds a Bachelor of Arts degree in Liberal Studies from the University of Pittsburgh and a Master of Business Administration in Finance and Accounting from Cornell University.

Michael A. Monteleone is Managing Partner of Point Lookout Capital Partners. Prior to founding Point Lookout Capital Partners, Monteleone was a managing director for Harbourton Enterprises, a New York-based investment company where he was responsible for the firm's private equity investments. Prior to Harbourton Enterprises, he was a founding partner of First Dominion Capital, a New York-based merchant banking and asset management business that specialized in providing capital to leveraged, non-investment grade, middle market companies. Since its inception in 1997 until its sale to Donaldson Lufkin & Jenrette Inc. in 2000, First Dominion Capital provided over $600 million in capital to a variety of businesses and had originated collateralized debt obligations totaling approximately $2.5 billion. Prior to First Dominion Capital, Monteleone worked for the New York-based Indosuez Capital, the merchant banking arm of Credit Agricole Indosuez. He received a Bachelor of Arts degree from Lafayette College and a Masters in Business Administration from Columbia Business School.

James J. Cesare is Managing Partner of Point Lookout Capital Partners. Prior to joining Point Lookout Capital Partners, he was an attorney with Thelen Reid & Priest, LLP in New York where he focused on private equity transactions, middle market mergers and acquisitions, and debt and equity financings totaling over $10 Billion. Cesare has advised clients over a broad range of industries, including the entertainment, defense, energy, manufacturing and medical sectors. In addition to his domestic transactional experience, Mr. Cesare has also been extensively involved in international business throughout Europe. In 2004, Mr. Cesare relocated to Paris where he engaged in private equity investments for Natexis Private Equity's venture group, Spef-Venture, a division of Groupe Banque Populaire. Mr. Cesare received a Bachelor of Arts degree from Georgetown University and a Juris Doctorate from the Georgetown University Law Center.

Rick and Terry Peterson are co-founders of Peterson Partners. Between 1977 and 2000 the two launched six companies, while at the same time acquiring and growing five other companies. Since 2000 they have been making direct equity investments in partnership with the managements of growing businesses. They are directors of several portfolio companies.

Peterson Partners operates three business units - Corry Publishing, VertMarkets, and Corry Micronics - composed of six operating units with combined annual revenues in excess of $20,000,000; and 175 employees. The operating units are located in four cities in Pennsylvania: Corry, Erie, Pittsburgh, and Philadelphia.

Corry Publishing is a publisher of national trade magazines and directories in the computer industry. VertMarkets is an internet business that operates in 70 different communities. These communities are primarily industry sourcing sites. Revenues are derived primarily from customers purchasing store fronts. The sites also have other income generating features such as training, job search, and electronic commerce. Corry Micronics is an electronic component manufacturer of passive and active electronic components, which are sold globally into several markets, including: wireless, microwave, broadband, defense, and aerospace.

Ron Kenny has served as an officer and consultant to Huizenga Capital Management and its affiliates since March 1990. He is involved in the identification, negotiation, structuring, monitoring and realization of equity, debt and equity derivative securities. Prior to joining Huizenga, Kenny worked in the audit divisions of Ernst & Young and Grant Thornton. He is a Certified Public Accountant and holds a Bachelor of Science degree in accounting from the University of Illinois, Chicago.
