Release of a voting rights announcement according to article 26, section 1.1 WpHG (Securities Trading Act) with the aim of a Europe-wide distribution

London, 11 March 2013 - Air Berlin PLC was informed on 10 March 2013 that the Government of Abu Dhabi holds through Etihad Airways PJSC convertible bonds in Air Berlin PLC on 6 March 2013 which bonds, if converted into shares during the conversion period from 16 April 2013 to 20 February 2019, would convert into 14,184,397 shares of Air Berlin PLC. Etihad Airways PJSC would hold 48,306,972 shares in Air Berlin PLC in total, which would represent more than 36% of its voting rights in the company. Since Etihad Airways PJSC would only exercise any conversion rights under the convertible bonds to prevent a dilution of its current shareholding resulting from the conversion by other bondholders, the current and actual percentage holding of Etihad PJSC's voting rights in Air Berlin PLC remains unchanged at 29.21%. The Government of Abu Dhabi, as 100% shareholder of Etihad Airways PJSC, is indirectly interested in the Air Berlin PLC's shares owned by Etihad Airways PJSC.
