Dialog Shareholders Approve Resolution For Completion Of Atmel Acquisition

(RTTNews) - Dialog Semiconductor plc (DLGNF.PK, DLGS) said that at an extraordinary general meeting of its shareholders held today, the shareholders have approved the allocation of shares required to complete its previously announced acquisition of Atmel Corp. (ATML). The resolution was approved by a vote of 61.94% of the shares represented at the meeting.

The transaction remains subject to approval of Atmel's stockholders and other customary conditions. The parties continue to expect completion of the transaction during the first quarter of 2016.

In mid-September, Dialog said it agreed to acquire Atmel for about $4.6 billion in cash and stock.
