OTI Greentech AG: Temporary suspension of interest payment on convertible bonds, ongoing promising negotiations with bondholders re restructuring

Berlin, 30 April 2018 - In connection with the ongoing negotiations with the holders of the convertible bonds issued by OTI Greentech AG, the Managing Board of OTI Greentech AG (WKN A0HNE8) today resolved to temporarily suspend the interest payments due on 1 May 2018 and 23 May 2018, respectively.

The Company will propose to the holders of the convertible bonds to reduce the interest rate of both bonds from 8.5% to 4.0% retroactively from the last interest payment date (1 November 2017 and 23 November 2017, respectively) and to defer payment of the (reduced) interest payments due on 1 May 2018 or 23 May 2018, respectively, by 6 months.

Based on the current state of the discussions, the Management Board is confident that the holders of the convertible bonds will agree to these proposals, as well as to an extension of the repayment date of both convertible bonds.

Some bondholders have also declared their willingness in principle, subject to the approval by the next general meeting of shareholders of the proposed capital reduction and an adjustment of the conversion price of the bonds, to convert a portion of their convertible bonds into shares of OTI Greentech AG at the next possible opportunity.
