Closing Completed in Connection with Acquisition of ComVision in Poland

OSLO, Norway, October 19, 2017 /PRNewswire/ --

Reference is made to the stock exchange announcement from LINK Mobility Group ASA on the 28th of June 2017 regarding the signing of a term sheet for the acquisition of Polish mobile messaging company ComVision, providing services under the brand of SMSAPI. SMSAPI has a strong presence in the Polish market, leading the market for self-service mobile messaging in Poland with a market share of more than 40%.

LINK Mobility has today completed the acquisition of all shares in SMSAPI from the sellers Grzegorz Lysiuk and Marek Bardzinski in the parent company ComVision. The acquisition was completed based on an agreed enterprise value of EUR 16 million on a cash-free and debt-free basis. The enterprise value is based on an estimated EBITDA for 2017 of 2.66 multiplied by a factor of 6.

Due to LINK Mobility's solid cash position after a strong cash flow from its operations and the successful placement of EUR 50 million bond in February 2016, the cash part of the transaction will thus be fully financed through LINK Mobility's corporate funds.

In relation to the acquisition of SMSAPI Arild E. Hustad, CEO of LINK Mobility, has stated the following: "This is another milestone for LINK Mobility developing into the leading mobile messaging and mobile solutions provider in Europe. This is our first acquisition in Poland and the Polish market is under strong development and growth. We are very pleased that SMSAPI has a large SMS customer base of more than 7,000 customers with good balance between SME and large corporate customers, and that it also is a very strong branded mobile messaging solution. This is a state of the art self sign-on solution that is very scalable and will be used in our other markets as well. We will also capitalize on its strong position in the Polish market to introduce our suit of innovative mobile solutions. With this latest acquisition in Poland LINK Mobility again confirms its ambition to drive consolidation in this market the same way that we have driven consolidation in the Nordic markets".

Aabø-Evensen & Co Advokatfirma AS is acting as legal advisors to LINK in connection with the above mentioned transactions.
