(the "Company"), a self-administered real estate investment trust engaged in the ownership, acquisition, development and leasing of skilled nursing and certain other healthcare-related properties, today announced that it has publicly filed a registration statement on Form S-11 (the "Registration Statement") with the Securities and Exchange Commission (the "SEC") relating to the proposed direct listing (the "Listing") of its common stock on the Nasdaq Capital Market ("Nasdaq").

The Listing is expected to take place after the SEC completes its review process and the Registration Statement is declared effective, subject to market and other conditions.
