Microsemi Wins Anti-trust Approval For Vitesse Acquisition - Quick Facts

(RTTNews) - Microsemi Corp. (MSCC), a provider of semiconductor solutions, announced the expiration, on April 7, of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended applicable to its proposed acquisition of Vitesse Semiconductor Corp. (VTSS) through its wholly-owned subsidiary LLIU100 Acquisition Corp.

On March 31, a wholly-owned subsidiary of Microsemi, LLIU100 Acquisition Corp., commenced a cash tender offer to acquire all outstanding shares of Vitesse's common stock for $5.28 per share.

The expiration of the HSR Act waiting period satisfies one of the conditions of the tender offer. The completion of the tender offer remains subject to certain other conditions.
