Bright Scholar Announces Pricing of Initial Public Offering

BEIJING, May 18, 2017 /PRNewswire/ -- Bright Scholar Education Holdings Limited (NYSE: BEDU) ("Bright Scholar" or the "Company"), the largest operator of international and bilingual K-12 schools in China*, today announced the pricing of its initial public offering of 15,000,000 American Depositary Shares ("ADSs") at an offering price of $10.50 per ADS for a total offering size of approximately US$157.5 million, assuming the underwriters do not exercise their over-allotment option to purchase additional ADSs. Each ADS represents one Class A ordinary share of the Company. The ADSs will begin trading on the New York Stock Exchange on May 18, 2017 under the ticker symbol "BEDU."

The Company has granted the underwriters a 30-day option to purchase up to an additional 2,250,000 ADSs.

Morgan Stanley & Co. International plc and Deutsche Bank Securities Inc. are acting as the representatives of the underwriters for this offering. China Merchants Securities (HK) Co., Ltd. and BNP Paribas Securities Corp. are acting as the co-managers for this offering.
